Commercial Terms and Conditions

  • To begin implementing the service, it is essential to have the proposal and contract signed, and to cover 100% of the total value of the initial payments if specified.
  • Monthly services must be paid in advance according to the payment terms; otherwise, late payment interest will be charged at an annual rate of 20% until payment is made, and services will be suspended without any right to a refund.
  • The contract term is mandatory and will have a penalty of the total cost of services and/or licenses not covered at the time of cancellation.
  • The provider believes that the submitted proposal does not cover the following terms, situations, or instances that could delay and/or interrupt the execution of the service or modify its scope. It also does not cover situations that could result in sanctions or penalties arising from circumstances or agents external to the service.
  • It is out of scope if the solution is used or implemented in such a way that it exceeds the technical, operational and/or sizing capabilities, and may not meet the previously studied performance and/or scope of the solution.
  • Any activity or process that hinders or slows down the activities and execution of the service is excluded. The client is directly responsible for providing all necessary facilities and access for the execution of the previously agreed-upon service.
  • The configuration or implementation of any hardware and/or physical devices that have not been considered within the scope of the service is outside the scope.
  • Any software or cloud solution that is not part of the service offering in this document (Operating Systems, Databases, Development Environments, Software Add-ons, etc.) is outside the scope of this document.
  • Integration with similar or complementary applications or devices, including peripherals, that are not part of the service is outside the scope of this service.
  • The supply, installation and commissioning of network connectivity materials or equipment or similar items that are not part of the list of equipment considered for the service are outside the scope of this agreement.
  • Training, technical education, knowledge transfer, or other related additional services that are not part of the proposal are outside the scope of this offer.
  • Any concept, service or product that is not part of the suite or that is not explicitly detailed in the quote.
